1) Scope

1.1 These General Terms and Conditions (hereinafter "GTC") of ValueShield©, Schwarz E-Commerce, Voßstraße 29, 30161 Hannover (hereinafter "Seller") apply to all contracts for the delivery of goods that a consumer or entrepreneur (hereinafter "Customer") concludes with the Seller via its online shop. Any differing terms and conditions of the Customer shall not apply unless expressly agreed otherwise.

1.2 For the purposes of these Terms and Conditions, a consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither attributable to their commercial nor independent professional activity.

1.3 For the purposes of these General Terms and Conditions, an entrepreneur is any natural or legal person or partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

2) Conclusion of contract

2.1 The product descriptions listed in the seller's online shop do not constitute binding offers; they are invitations to the customer to submit an offer.

2.2 The customer can submit a binding offer via the online order form by clicking the button that completes the order process after selecting the desired items and completing the order process.

2.3 The seller may accept this offer within five days by:

  • the transmission of an order confirmation in text form,
  • the shipment of the goods to the customer,
  • a request for payment.

If no acceptance is received within this period, the offer is considered rejected.

2.4 Payment processing may be handled by external payment service providers. Further information can be found in the online shop.

2.5 The seller stores the contract text and sends it to the customer in text form after the order is placed. If a user account has been set up, the order details can be viewed in the password-protected area of ​​the customer account.

3) Right of withdrawal

3.1 Consumers have a statutory right of withdrawal. Details are provided in the seller's cancellation policy.

4) Prices and payment terms

4.1 The prices quoted are final prices and include statutory VAT. Shipping costs are shown separately in the respective product description.

4.2 For deliveries to countries outside the European Union, additional costs (e.g. customs duties) may be incurred, which the customer must bear.

4.3 The available payment methods are listed in the online shop. If prepayment is agreed upon, payment is due immediately upon conclusion of the contract.

5) Delivery and shipping conditions

5.1 Shipping will be to the delivery address provided by the customer during the ordering process. For payments via PayPal, the address registered in the PayPal account will be used.

5.2 If delivery is not possible for reasons attributable to the customer, the customer shall bear the resulting costs. Details regarding return shipping costs in the event of a cancellation can be found in the seller's cancellation policy.

5.3 The risk of accidental loss or accidental damage to the goods passes to the buyer upon handover to the carrier in the case of businesses; in the case of consumers, only upon handover of the goods to the customer.

5.4 If an item is unavailable and the seller is not responsible for this, the customer will be informed immediately and any payments already made will be refunded.

5.5 For logistical reasons, self-collection or personal return of the goods is excluded.

6) Retention of title

The seller retains ownership of the delivered goods until full payment has been received.

7) Liability for defects (warranty)

The statutory regulations regarding liability for defects apply. For businesses, the following applies:

  • The limitation period for new goods is one year.
  • Rights in the case of defects in used goods are excluded.
  • Replacement deliveries do not restart the limitation period.

These limitations do not apply to claims for damages and certain legally defined exceptions.

8) Liability

8.1 The seller is fully liable for intent and gross negligence as well as for injuries to life, body or health.

8.2 In the event of negligent breach of essential contractual obligations, liability is limited to foreseeable, typical contractual damages.

8.3 Any further liability of the seller is excluded.

8.4 These limitations of liability also apply to the seller's legal representatives and agents.

9) Redemption of promotional vouchers

9.1 Promotional vouchers issued as part of promotional campaigns are redeemable within the specified period, but cannot be purchased and are intended for consumers only.

9.2 Vouchers must be redeemed before completing the order. Only one voucher can be used per order.

9.3 Any remaining credit balance will not be paid out, and in the event of a return of goods, the redeemed amount of the voucher will be forfeited.

10) Use of product photos, product reviews and social media content from customers

The customer agrees to the further use by the seller of product photos, product reviews and social media content published by him.

11) Applicable Law

All legal relations between the parties are governed by the law of the Federal Republic of Germany. For consumers, this applies only insofar as it does not deprive them of the protection afforded by their country of residence.

12) Place of jurisdiction

For all disputes arising from this contractual relationship, the place of jurisdiction is the seller's place of business, provided the customer is a merchant.

13) Note on dispute resolution pursuant to Section 36 VSBG:

We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
